Collaboration Agreement
Thank you for choosing ProMEDeus to assist you in your academic endeavors. We take great pride in the academic support services that we provide. This document is designed to give you an idea of what you can expect from us and what we expect from you.
ProMEDeus provides a comprehensive, holistic, and individualized approach to assisting you in improving your academic performance. Our specialty is (i) assisting premed and/or medical students who are experiencing failure despite the intellectual capacity to succeed, and (ii) assisting students who wish to prevent academic struggles. ProMEDeus wants to help you become successful. In furtherance of our shared goal, ProMEDeus will provide you with the service that we deem, in our professional judgment, to be reasonable and necessary.
We offer several options for delivering our services and giving the student access to the educational content you may need to become successful.
The 2 main ways we deliver services is through our Computer Based Training Curriculum OR Time Based Packages.
We have designed a Computer Based Training Curriculum with three options in how we deliver content:
- Self-Guided Course– Student goes through modules at their own pace and time. Academic advisor is NOT included or involved in this option. Student can add an academic advisor to this option if desired.
- Group Rate– With this option members of group opt in and go through modules prior to meeting with an Academic Advisor. The delivery, pace, and sequence of these courses will be predetermined based on time and needs of the group. Advisor guides and mentors a group of students through the curriculum. Group sessions will be recorded and available for review if a student misses session. Group gets 1 hr. with advisor per module.
- One on One- Student goes through modules prior to meeting with advisor. The delivery, pace, and sequence of these courses will be predetermined based on time and needs of the student. Advisor guides and mentors a student through the curriculum and gives personalized advise. Student gets 1 hr. with advisor per module
If the student has special needs or desires more flexibility and time for continued support, training, and/or mentoring then the Time Based Packages are a better option. The Time Based Packages includes access to our Computer Based Training Curriculum.
For our students with special circumstances or needs who purchase a Time Based Package, our services will consist of the following:
- Assessment.
The first step consists of completing a Learning Skills Assessment and in some situations an Attrition Timeline to get a better understanding of your circumstances. The information we obtain from the Learning Skills Assessment and/or Attrition Timeline will assist us in matching you with the right professionals and services. The Learning Skills Assessment provides us with an inventory of a student’s awareness and use of learning and study strategies in order for us to provide educational interventions that correlate with attainment of higher order learning and critical thinking skills necessary for success. The Attrition Timeline is a document that lists in chronological order all your challenges in pre-med OR medical school both personal and professional and it includes an explanation on how you dealt with those challenges and the outcomes (Pass, Fail, Remediation, on Academic Probation, etc.). It should include a list of reasons why you feel you have been unsuccessful in school and what you have tried in the past to correct those deficiencies. The Attrition Timeline should be written with complete honesty and after some self-reflection. ProMEDeus will treat your information with the utmost respect and will always protect the confidentiality of your information.
Next, you will schedule a time to conduct an initial one-on-one interview with one of our expert academic advisors. Sessions will be recorded for quality control purposes. This interview will preferably be conducted in person, via a videoconferencing platform or telephone. During this interview, you will be asked a series of structured questions designed to assist us in assessing your academic issues. We ask that you speak freely about your academic problems and your perceived reasons for your lack of success as a medical student. We will focus on your personal, professional and/or academic needs depending on your situation.
- Diagnosis of Target Deficiencies.
Based on the interview and your specific situation, we will formulate a series of assessments and interventions designed to identify any areas of weakness or to address and correct particular academic or professional issues (i.e. probation, dismissal, etc). There may be an additional charge for these assessments, which will be your responsibility. If applicable and beneficial to your success, we will review various academic strategies, including: study strategies, information organization, planning and time management, and exam-taking strategies, amongst others.
During this phase, we will develop a prioritized list of areas of focus
III. Plan.
Your plan, based on your specific situation and needs, will be divided into two broad categories: non-cognitive and cognitive.
Non-Cognitive Goals:
- Optimizing Behavioral and Social Issues, (Background checks may be requested depending on situation).
- Addressing Substance Abuse Issues if applicable.
- Referrals and Assistance with Psychiatric Conditions (Anxiety/Depression, ADHD, ODC, etc.).
- Referrals to Appropriate Mental Health Professionals (Note: We do not diagnose or treat psychiatric conditions).
- Referrals to legal professionals.
- Assistance with Academic Appeals, Reframing Academic Attrition or other Professional Situations for Residency Application and beyond.
Cognitive Goals:
- Improving Study Strategy Planning using our exclusive FRAC Method.
- Improving Studying Efficiency and Yield through Active Learning Methods.
- Optimizing Information Processing and Processing; Distilling large amounts of information.
- Improving Exam Skills and Strategies.
- Time Management Skills.
- Learning Assessments & if needed, referrals to Learning Specialists.
- Creating Appropriate Exercise and Recreation Programs for Student Wellbeing.
For quality assurance and for internal staff training purposes we will attempt to record all of our interactions with our student clients either by video or audio. You will receive documents from our learning specialists on a regular basis titled “Summaries of Sessions” which are basically summaries of our recorded conversations and advice. These will also be distributed internally to any ProMEDeus associate(s) involved in your case. If another outside professional is involved in your case and they request access to recordings or information, we will first require written permission from you prior to sharing any information.
There are several reasons why we create a record of our interactions with our students. One is to better capture how time is spent with you. Second, we want to create an environment of accountability, this is the best way to convey clear expectations and deadlines (Action plan and Interventions), which help everyone see where you are in the process. This helps avoid misunderstandings and provides you with clear goals, advice, and recommendations. Our recorded conversations will be treated as strictly confidential and will be handled with the utmost respect by all staff members.
- Fees for Services Rendered
One of our core values at ProMEDeus is our commitment to assist at risk medical students regardless of their barriers and/or ability to pay. We operate under a socially responsible business model and one of our goals is to reduce academic attrition in medical school. Our other goals are to improve access to medical education amongst minority and disadvantaged students Considering the recent physician shortage crisis ProMEDeus has a vested interest in your success. At ProMEDeus we welcome the opportunity to empower an individual to become a physician, as he/she will have an impact in the community they will serve and that is more powerful than any profit we make.
ProMEDeus bills students for services rendered based on the package that best suits their needs. Billable services include but are not limited to: Mentoring, scheduling & conducting meetings via video conferencing or in person when feasible, preparation of and communication via email with student clients, learning assessments, mock interviews, tracking student performance, instructing and modeling skills necessary for success via modules created by ProMEDeus, developing study calendars or study plans, performing error analyses or practice exams, creating a written record of student client interactions with clear goals and expectations, educational administrative duties that benefit student client performance outcomes, phone calls on behalf of the student to advocate or mediate situations, and time spent in the preparation and execution of any of the above activities.
A student will be able to purchase packages or computer based training curriculum via our website through our secure check out page. If a student purchases a time based package, the student will receive an invoice at the end of the month for services rendered via email which will include, the amount of time spent, a description of the services provided in that time frame and remaining time in your package.
You understand that our services will not be billed to any health insurance or benefit policy. You are responsible for payment of services. If payment is not received within 10 days of your receipt of an invoice, a late fee of $30 will be assessed & the outstanding balance will accrue interest of 10% per month. Additionally, if you fail to remit payment of an invoice within 30 days of your receipt, we reserve the right to stop all work on your behalf.
No interest will be paid or credited to you on any retainer paid to us.
At ProMEDeus we understand that as a student you may be living on a tight budget. If you are experiencing financial difficulties which will delay payment you are responsible for contacting us and making alternate payment arrangements. All alternate payment arrangements need to be approved by ProMEDeus, LLC. In reviewing student’s request for alternative payments we may require student to provide us with financial aid disbursement information, tax documentation (student & parents), budget and any pertinent information that will help us obtain a better picture of your financial state.
Expedited services are available upon request and an additional fee of $300 will be assessed. All expedited services will first need approval from ProMEDeus, LLC. Expedited services include any service requiring attention with less than 1 week advance notice depending on situation and/or if service requires our attention during weekends and/or holidays.
If you feel you cannot afford our packages, please contact us and we can discuss payment alternatives to experience what ProMEDeus can offer you and be successful. Don’t let finances obstruct your route to success.
- Guarantee
At ProMEDeus we strongly believe our methods, strategies and interventions will bring you success in your academic endeavors. Therefore, ProMEDeus offers a 1-year money back guarantee, which starts at the time of purchase.
The following Terms and Conditions Apply to the money back guarantee:
- Student schedules and attends ALL agreed upon sessions and workshops.
- Student completes all tasks, assignments, and interventions within deadlines set forth by the advisor.
- Student responds to ALL communications (emails, calls, texts) within 48 hours.
- Student follows 100% of our advice and interventions on the day those interventions are communicated to the student.
- Student will abide by & follow Section VI (below), which describes a Student’s Responsibilities & Code of conduct.
- Student will provide advisors with ALL factual information and will refrain from withholding necessary information that affects ANY aspect of the student’s performance.
- Legal or Substance Abuse issues immediately nulls guarantee.
- If student is applying to Medical School, a minimum GPA of >3.5 AND MCAT score of >514 will be necessary to guarantee acceptance to Medical School.
- Guarantee is voided if a medical student has already failed a course, shelf exam, or board exam.
- Guarantee is voided if a student has been subject to disciplinary proceedings or actions prior to purchasing a package.
A Refund Processing fee of $75 will be assessed on all refunds.
Prior to starting work with a student the Advisor will identify specific academic objective(s) to be completed. Completion of those objectives will satisfy our responsibility to the student and will void the guarantee.
Failure to comply with any of the above will null and void our guarantee.
- Student Responsibilities
At ProMEDeus, we believe in transparency and being honest with our student clients and we expect the same in return. Our commitment is to improve your learning methods to overcome your obstacle(s). For our relationship to succeed, it is essential for you to provide us with all factual information reasonably relevant and material to your situation, health and physical condition. We view our obligation to protect the confidentiality of your health and personal information with the utmost seriousness. We may also need to obtain access to your medical records in the event that you require mental health services. We have the forms that you will need to complete in order for you to authorize us to have access to these records. In order for our services to be successful, you will need to actively and honestly participate in this process and follow our advice. Although we aim for the success of our student clients, we are not responsible for the final outcome of our interaction or for the results of our services if you withhold necessary information or fail to follow the plans and advice that we develop for you or if you require expedited services that prevents us from having the adequate time necessary to address your particular situation.
VII. Conflict of Interest
Student must disclose any conflicts of interest prior to beginning work with an advisor. Potential conflicts of interest may include but is not limited to:
- Student holds office, serves on the board, participates in management, or is otherwise employed (or formerly employed) with any third party dealing with the production and distribution of student educational content as it relates to pre-med, medical school and residency academic topics.
- Student founded, works in, or benefits financially from working with a private academic support services firm.
- Student works as an advisor or mentors other students in his institution or spare time.
- Student has authored or contributed to books related to the following: pre-med, medical school, residency, medicine, how to get into medical school, application assistance to enter medical school or residency, etc.
- Student has worked for Becker, Kaplan, Princeton Review, Doctors In Training, or any other firm that produces student educational content for sale or distribution.
- Student has a parent, sibling, spouse or close relative that holds an academic appointment and/or works for academic support services firms (private or institutional) or any of the vendors named above that produce student educational content for sale or distribution.
- Student holds stock or any propriety interest in the vendors mentioned above.
If you have a situation that does not fall into the above descriptions but still think there is a potential for conflict of interest please disclose that to us so we can make a determination whether we can provide services to you.
ProMEDeus reserves to right to provide services to any student under any situation whether explicitly outlined in this contract or not.
VIII. Non-Compete & Intellectual Property
In performing its duties and obligations under this agreement, the student will have access to and become acquainted with Confidential Information in the possession of ProMEDeus. Student acknowledges that, by reason of the trust relationship between the parties hereto, student has a fiduciary duty to protect and preserve such Confidential Information from all unauthorized disclosure and unauthorized use. For purposes of this Agreement, “Confidential Information” shall mean all information (including Trade Secrets, as defined by the Uniform Trade Secrets Act), whether written, electronic, or oral, received or obtained by student, either directly or indirectly, in ProMEDeus’ possession that (i) is not publically known or made available to the general public domain by ProMEDeus either before or after disclosure to student, or (ii) is in the possession of student with confidentiality restrictions, at the time of the disclosure by ProMEDeus. Confidential Information shall also mean any information that (i) relates to the past, present, or future physical or mental health or condition of an individual, and (ii) identifies the individual or there is a reasonable likelihood that the information can be used to identify the individual (including medical records and billing information).
Student shall not have ownership of any Trade Secrets, Products, Services or Intellectual Property which he/she may receive or have access to during the course of this agreement and indefinitely thereafter. Resources or tools the student brings prior to working with ProMEDeus shall solely belong to student or to public domain.
During the Term of this Agreement and for a period of sixty (60) months immediately following the termination of this Agreement, student shall not provide academic consulting services, either directly or indirectly, in any capacity. Student is however allowed to engage in academic advising as part of his duties as a medical student, physician or as a faculty member in an academic setting. Student agrees that if he is to provide academic advising he is not to use the methods or modules or any intellectual property owned by ProMEDeus indefinitely. Student agrees that the remedy at law for any breach of the provision contained in this section may be inadequate and further agrees that in addition to have an action at law for damages, ProMEDeus shall be entitled to injunctive relief for any such breach.
By signing this document, you acknowledge that you have read and understand all terms of this agreement. You also acknowledge, understand, and agree that you are responsible to pay our fees. You will also have the opportunity to participate giving us feedback, testimonials, and referrals.
You can end this Agreement by providing us with no less than 5 days written notice, via certified mail, to ProMEDeus, 404 Masterson Station Drive, Lexington, Kentucky 40511. Likewise, we can end the Agreement by providing you 5 days written notice, via email, hand-delivery or certified mail to the address(es) listed at the top of this Agreement. You and ProMEDeus agree to attempt to settle in good faith, any dispute, controversy, or claim arising from our relationship and this Agreement. If we cannot agree to a good faith resolution, such dispute, controversy, or claim shall be settled by mediation, facilitated by a neutral third party. In the event of mediation, you will be responsible for one-half of all fees and costs, including reasonable attorney fees, incurred during the mediation process.
This document represents the entire Agreement between you and ProMEDeus. By signing this document, you acknowledge that you have carefully reviewed all the information contained in this document and that you agree to be bound by all the foregoing terms and conditions. You further represent that either you are competent to execute this Agreement and do so of your own free will, without coercion.
